These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by GymPNL LLC, a Connecticut limited liability company ("GymPNL," "we," "us," or "our"), including the GymPNL platform and Main Event ticketing & event management (the "Main Event Service"). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.
GymPNL provides software tools and related services for gymnastics clubs and event organizers, including event ticketing, attendee check-in, communications, add-on sales, and competition management. The Services may be used by event operators ("Operators") to run events and by members of the public ("Buyers") to purchase tickets and add-ons.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You are responsible for any activity under your account and for keeping your login credentials confidential. Operators are responsible for the conduct of users they invite.
Tickets and add-ons sold through Main Event are sold by the Operator hosting the event, with GymPNL acting as the technology provider. Payment processing is handled by Stripe; by purchasing you also agree to Stripe's terms. All sales are final unless the Operator chooses to issue a refund. Prices, fees, and taxes are shown at checkout. Tickets become non-transferable once issued, except as permitted by the Operator.
If you opt in by checking the consent box at checkout and providing a mobile number, you agree to receive transactional and event-related text messages from GymPNL on behalf of the Operator (e.g. "show starting," schedule changes). Approximate frequency: 1–5 messages per event. Message and data rates may apply. Reply HELP for assistance or STOP to unsubscribe at any time. By providing an email address you agree to receive ticket delivery, receipts, and event-related email communications. Marketing messages, if any, are sent only with separate opt-in and can be unsubscribed via the link in each message.
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to the Services or other accounts; (c) interfere with or disrupt the Services or related infrastructure; (d) upload content that is infringing, defamatory, harassing, or otherwise unlawful; (e) resell tickets in violation of the Operator's terms or applicable law; or (f) misuse Buyer data accessed in the course of running an event.
Operators are responsible for the conduct of their events, the accuracy of event information, fulfillment of tickets and add-ons, refund policies, communication content, and compliance with all applicable laws (including consumer protection, anti-spam, and TCPA rules for any SMS sent through the Services). GymPNL provides the platform but is not a party to the ticketed event.
The Services, including all software, designs, logos, and content provided by GymPNL, are owned by GymPNL or its licensors and are protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works of the Services except as permitted in writing.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GymPNL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYMPNL AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. GYMPNL'S TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNTS PAID BY YOU TO GYMPNL IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
You agree to indemnify and hold harmless GymPNL from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violation of these Terms. Provisions intended to survive termination (including Sections 7–10 and 12–13) will survive.
These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Connecticut, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. Material changes will be communicated by posting an updated version on this page with a new "Last updated" date. Continued use of the Services after changes constitutes acceptance.
